Course Overview

Embark on an in-depth exploration of the principles, frameworks, and practices that shape responsible and effective corporate governance in today’s business landscape. This course is designed to provide MBA students with a solid understanding of how governance structures influence strategic decision-making, stakeholder accountability, and regulatory compliance. By studying global best practices and the Bangladesh Securities and Exchange Commission (BSEC) Corporate Governance Code, along with Secretarial Standards from the Institute of Chartered Secretaries of Bangladesh (ICSB), students will gain the critical insights and analytical skills needed to contribute to ethical leadership, sustainable performance, and long-term corporate value.

2. The BSEC Corporate Governance Code – Deep Dive
Clause-by-clause analysis of the BSEC Code
Director qualifications, board composition, and responsibilities
Audit committees, nomination, and remuneration policies
Latest amendments and their implications

3. Secretarial Standards and Board Procedures
Overview of Secretarial Standards issued by ICSB
Meeting procedures: Board, committee, and general meetings
Role of company secretaries in governance compliance
Documentation, minutes, and statutory reporting

4. Governance Reporting and Stakeholder Communication
Governance disclosures in annual reports
ESG (Environmental, Social, Governance) reporting trends
Engaging with shareholders and institutional investors
